ROP Refund Policy
This policy explains how refunds work under the Result-Oriented Program (ROP) — a limited-scope, first-sale Amazon service engagement provided by DayHom Digital Private Limited. It should be read together with your ROP Service Agreement.
The short version
A quick summary — the full clauses below take precedence.
What the ROP is
The Result-Oriented Program (ROP) is a limited-scope, result-oriented Amazon service engagement that assists the Client with technical setup, listing preparation, optimisation, launch, and sales-oriented implementation of one eligible product on Amazon.
The ROP is specifically structured around achieving the Client's First Qualifying Amazon Sale — a genuine customer order for the eligible product, placed through the Client's Amazon Seller account, recorded by Amazon as an order/sale, and not cancelled, rejected, or otherwise invalidated.
Not an ongoing serviceThis is not a monthly account-management agreement, subscription, retainer, or permanent Amazon management arrangement. It concludes once the ROP objective is met.
Professional service fee
The fee for the ROP is fixed at the time of engagement and covers the full scope described in your Service Agreement — Amazon Seller account setup, product listing creation, listing optimisation, product listing images, technical implementation, and product launch activities.
| Professional Service Fee | ₹25,000 |
| GST @ 18% | ₹4,500 |
| Total Payable | ₹29,500 |
No-cancellation policy
The ROP is a committed professional service engagement. Once payment has been made and the engagement accepted by DayHom Digital, the Client does not have a unilateral contractual right to cancel merely because the Client:
- Changes their mind, business plans, product, or strategy
- Becomes unavailable, or stops responding or cooperating
- Decides not to continue with the program
- Experiences personal or business circumstances
Failure or refusal by the Client to continue cooperation does not automatically end payment obligations or create a refund entitlement.
When no refund applies
No refund is payable merely because the Client:
- Changes their mind, or changes plans or product
- Stops responding or cooperating with the implementation process
- Decides not to continue, or discontinues the business
- Fails to provide information, documents, access, or approvals
- Fails to maintain sufficient inventory
- Fails to make third-party payments (e.g. Amazon fees)
- Decides not to sell the product after all
- Is dissatisfied with general marketplace conditions
- Experiences personal or business circumstances affecting participation
Payments are non-refundablePayments made toward the ROP are non-refundable, subject to any applicable mandatory law. No refund arises solely because the Client elects not to continue participation or fails to cooperate.
What the fee covers
The professional service fee covers DayHom Digital's committed resources, implementation work, expertise, operational capacity, and service engagement for the ROP — regardless of whether the Client ultimately continues to participate through to the First Qualifying Sale.
DayHom Digital uses its professional expertise, implementation resources, systems, and processes to work toward the First Qualifying Sale within 30 days of the applicable Commencement Date, subject to the Client's full and timely cooperation. Beyond the First Qualifying Sale, DayHom Digital does not guarantee any specific number of sales, or long-term sales, revenue, profit, ranking, traffic, or marketplace performance.
Service completion
The ROP is considered successfully completed upon achievement of the First Qualifying Sale, subject to reasonable confirmation through the Client's Amazon Seller account or other Amazon record.
Upon completionThe ROP objective is fulfilled, the engagement is complete, no ongoing monthly management obligation arises, and no future-sales commitment arises. Any further service — ongoing account management, continuous listing or creative work, long-term PPC, and similar — requires a separate written agreement and commercial terms.
Suspension & termination
DayHom Digital may pause implementation where required information, access, or approvals are unavailable, payment is outstanding, documentation is incomplete, eligibility is unresolved, Amazon restricts the account or product, continued implementation becomes technically unavailable, or the Client materially breaches the Agreement.
DayHom Digital may also suspend or terminate the engagement where the Client materially breaches the Agreement, provides false or fraudulent information, fails to provide essential information, access, or payment, requests unlawful or prohibited activity, repeatedly fails to cooperate, misuses DayHom Digital's work or systems, or engages in abusive, threatening, or inappropriate conduct toward personnel.
Termination or suspension arising from a Client breach does not create a refund obligation, subject to applicable mandatory law.
Statutory rights & exceptions
Nothing in this policy is intended to restrict any mandatory statutory right or remedy available to the Client under applicable Indian law. Where a provision of this policy would otherwise conflict with a mandatory legal right, the statutory right prevails to that extent.
DayHom Digital's aggregate contractual liability arising directly from the ROP Service Agreement does not exceed the professional service fee actually received. DayHom Digital is not responsible for losses arising from Amazon's own decisions or restrictions, marketplace changes, product or inventory issues, third-party platform failures, or circumstances beyond its reasonable control.
